Entry after overstay on visa waiver

I'm returning to the US on a visa waiver,after overstaying my previous visa by more than
180 days (I-94 was NOT surrendered at departure). What are the chances of being denied
entry,even with new passport and return ticket? How do I proof to the INS,that I do not
intend to stay in the U.S.?
