Establish a Company in US, how?

Can a Citizen of Canada or a group of Canadian Citizens establish a company in US?
Does the citizenship matter at all? Where can I get detailed information?

You can establish a company, but you probably cannot do a stroke of work for it as
long as you are on US soil!

Unless you have the proper authorization to work for the company, of course.

If you have $1M to invest (US dollars), you can open a company here and get an
investor visa and become a permanent resident. You have to, of course, create US jobs
and contribute to the economy.
