I suspect I already know the answer but I'll ask anyway. I have a small business here in addition to my proper job. I need to have a US version in place before I go. There are agencies which will set up your S-Corp or LLC for a fee, act as local agent on the ground, and some will even (allegedly) be able to set up a business account without needing to set foot on US soil to do so.

Has anybody used any of these services and been happy with their service? Can you recommend one in particular? I want to incorporate in CA for the apparent ease of doing business locally rather than from a different state (eg DE).

The state of incorporation might not matter as much as you think. DE registration is pretty common. That said, I incorporated locally.

I wish there were more of you entrepreneurs out there.. this remote service looks like a good business to go into!

DE has the advantage of being quite favourable if you sell the business too, which is another consideration.

No idea about agents though.

We have used bizfilings.com to set up two LLC's in California. They have registered the company, obtained the Federal Tax ID, provided the minute book and corporate seal for $405. They charge $159 a year to be the registered agent.

We haven't used them for any other services so don't know if they will set up bank accounts etc.

No idea about agents though.
I don't think it makes any difference for a S corporation or a LLC. Usually it is only C corporations that incorporate under Delaware law.

Thanks all. I guess I have to weigh up the costs of registered agents and taxes where applicable. Trouble is, there are a million threads on webland about where to incorporate and everybody has their own opinion.

Of course, at some point I'll need an accountant - but I can't afford one just yet (yeah, I know, it might cost more later if I mess it up).
