Hello, I am changing my employer, due to which my new employer has filed for a H1-b
trnasfer(which is not yet approved). However my I-94 will be expiring in Jan 2002.
Does a H1-B transfer automatically come with a new I-94 ? If not, what is the process
to get an extension of I-94 ?

I was in your exact situation a few months back. To answer your 1st question: No.
Once your H1 is transferred to your new employer, they need to extend your H1 status
(another 3 years). When they file for that extension, you will get a new I-94 with a
new expiration date. Once your status has been extended, you can proceed to apply for
a new visa.
