BBVA bidding to takeover Sabadell
 
I have a few shares in Sabadell bank which have increased in value recently because of the BBVA bid to take the bank over - it now appears there is a decision to take regarding the takeover -

Just wondered if anyone else is in this situation and whether they are accepting or rejecting the takeover (as I am unsure)

I am really only looking for comments from shareholders and not starting a general debate.

Two things, specific to your situation and Spanish takeover rules.

[1] if 90% of shareholders accept a bid, your shares will be subject to the "Squeeze out" provisions, that allow the bidder to force the remaining <10% of shareholders to sell their shares.

[2] looking broadly at mergers and takeovers, typically, the bulk of the benefit from the merger/takeover accrues to the "acquired" company, i.e. the "bidding" company arguably over-pays for the shares of the acquired company. This means that typically (there are, of course exceptions), the best course of action is for the shareholders in the acquired company to either [1] accept the cash offer if there is one, [2] sell in the market at around the price being offered by the bidding company (if there is no cash offer), or [3] sell the shares in the bidding company immediately that you receive them.

Bare in mind, there may be tax consequences that make selling for cash an undesirable choice.

BBVA have upped their offer but at the moment I am still not selling - the amount involved is not life-changing so I will keep taking the Sabadell dividends and profit from TSB sale. Thanks for the comments.

Good!!......

As a resident I am happy with Sabadell Bank. Their app is excellent and I can do all my monetary business using it. I've not had to go inside a bank for several years.

The value of my shares has dropped!! But never mind, better that things settle down. And it will save a load of paper! The number of letters I received (and 1,000s of other people) was unbelievable.

That virtually always happens to the target company share price if a bid is withdrawn or fails.

The share price of the bidding company often increases too, especially if "the market" thinks the bid price was too high.
