Only if a three way deal is reached between Hidrocarbutos Santa Ana (the current owners of the clubhouse and both courses),Pryconsa (owners of Isla Canela) and H2O ( the current leaseholder and operator of the club and west course).

The Alcaldi told us last evening that a meeting of all parties was arranged for 11.00ES this morning but no agreement has been announced.

The present situation is a meeting is to be held between Pryconsa and the golf members on Saturday at 11.00ES.

From the Captain of the Golf Club...

Hi to you all,

Wow! What a week it has been. I'll try and bring you all up to date as far as I am able to, but the whole situation is still very fluid. No conclusion has yet been reached, but I am hopeful that something positive for the club and Costa Esuri will happen soon.

Firstly, I've pasted in the minutes from the meeting we had with H2O on Monday 20th May. I would ask you to please not jump to any conclusions from these at this time. Just accept them as a step forward.

Secondly, is a brief summary of the meeting on Tuesday 21st May with Mayor Alcalde. Again please continue to the end of this email before making any assumptions.


COSTA ESURI GOLF CLUB – EGM
20th May 2019 at 7.00pm

Javier informed the meeting of members the following information:

1 H2O has a contract to manage the Golf Course and its Clubhouse until October 2019; the contract may be extended by mutual agreement with the current owners.
2 All the necessary services for the exploitation of the different activities that conform this management (Golf Course, Restoration) are hired by H2O, with exception of the water supply of the Golf Course which has always been managed by the BARANDA AZUL Company. That company was acquired by HIDROCARBUROS SANTA ANA SL, one year ago, by the current owner of the Golf Course.
3 Since the acquisition by HIDROCABARBUROS SANTA ANA SL of the management company of the water in Costa Esuri (BARANDA AZUL) the water consumption necessary for the maintenance of the Golf course has NOT been paid to the community of irrigators Piedras-Guadiana.
4 The community of irrigators, because of the lack of payment for water consumption, on 8th May 2019 were forced to make the cut of supply leaving the golf course no possibility of irrigation.
5 In this situation H2O, for reasons beyond their control, will only have supply of water until the week of 13 – 17 May and were forced to close the course on Friday 18th May.
6 With H2O having other supply contracts of light, water and others in the Clubhouse, they were able to continue performing the work of exploitation in the Bar, this service will not be affected, so it will continue to open to the public.
We deeply regret these events unrelated to the management of H2O.

The Captain told the meeting that for the last 6 days a sub-committee has been collating questions sent by members and he asked Javier these questions:

1 What period of time is the debt from? Answer: For the last year, since the new owners bought the course.
2 Who are the new owners and what details do we know about the deal? Answer: HIDROCARBUROS SANTA ANA SL, Javier has seen no documents regarding the deal.
3 Who closed the course? Answer: H2O closed the course because without water, the course cannot remain open.
4 Why has the water bill not been paid? Answer: Don't know. The Captain we do know the new owners have responsibility to pay debts but have refused.
5 Do we have a claim for a refund of fees paid? Answer: Javier has stated he will refund fees proportionately.
6 Can we arrange a meeting with the new owners? Answer: Javier thinks this is possible.
7 When did the new owners find out about the unpaid water bill? Answer: The new owners own BARANDA AZUL who provide all the grey water to Costa Esuri so they must know.
8 Have H2O paid any water bills since taking over. Answer: No, for the previos four years before the sale to HIDROCABARBUROS SANTA ANA SL the Fadesa Liquidators have been paying the water bills. It is only the last year which has not been paid. The new owners bought out 3 companies n the takeover, including Baranda Azul who manage the water supply to the whole of Costa Esuri not only the Golf Club. Javier is sure they were aware of the debt to the water company.
9 What course maintenance will continue while closed? Answer: Course maintenance will continue, but the course will not be watered.
10 Will people who have bought a book of 10 green fees get their money back? Answer: Yes
11 Will Prize Vouchers be honoured if the shop closes? Answer: Yes, you can use them for food and drinks in the Bar.
12 What reimbursement will there be from H2O for breach of contract for not providing a golf course to play on? Answer: Can have the conversation but he cannot feel it is the fault of H2O as they do not have any water.
13 Does the Mayor have any influence over our situation? Answer: Yes, Javier has been talking with the Mayor and he will put pressure on the new owners.

The Captain informed the meeting that he has been in negotiations with local golf courses to arrange reduced fees so we can play our Masters competitions, Roll Ups and League Matches elsewhere.

There followed a few questions from the floor which Javier answered:

Kim Turner – Under Spanish Law HIDROCABARBUROS SANTA ANA SL would have been liable for any debt when they bought? Answer: The water was not a debt when the new owners bought a year ago.
Steve Fraser – How can we set up a meeting with the new owners, will Javier take on organising a meeting and open the lines of communication? John Morris asked if Javier had met the new owners? Answer: Javier will have to raise this with the Mayor tomorrow.
Steve Ball asked why can't Javier ask the new owners direct? Answer: Javier does not have a good relationship with the new owners so he cannot facilitate.
Bob Inglis – Are the new owners interested in the Golf Course. Answer: At a meeting with the new owners there were two choices (1) H2O buy the Golf Course and (2) H2O walk away and Canela or someone come in and run the course were proposed but no response was received from the new owners.
Someone asked if the new owners have other golf courses. Answer: No.
Mick Cunningham – New owners should want the course to be maintained as it will deteriorate. Answer: You would have thought so.
Sharon Kennedy – Have they just bought an asset which they are going to sell on? Answer: Yes, it looks like it.
Someone asked does Javier see a quick solution or could this carry on for months? Answer: he is in the dark and does not know.
Barry Partner – Does Javier know of any relationship between the new owners and Martinesa Fadesa i.e., any directors involved in both operations? Someone called Lamps? Answer: Javier said he did not know but thinks it is possible.
Helen Leckie – Were the new owners asked to attend the meeting tonight? Answer: No, Javier does not have a relationship with them.
Keith Palmer – Will H2O be here after October? Answer: Javier would love to but it is in the hands of the owners.
John Morris – Can we have clarification that the course is closed and the new owners have no intention of opening again in the near future? Answer: Javier cannot see a short term solution.
Barry Partner - The 2.8 million debt, what is this for and what period does it cover. Answer: Javier said it is not 2.8 million but 2.3 million but he does not know the breakdown or what it is for.
Joe Rogan - Asked if current membership debtors who owe money to the Club will still be expected to pay their debts? Answer: No.
Someone asked - If the new owners had no intention of running the Golf Course who let them buy it? There should be some recourse as it affects the whole of Costa Esuri and all our properties which we have invested in ... this is a Criminal Act!
Juliet Benson – no one is interested in Costa Esuri – everyone wants it to fail!

The meeting closed at 8.00pm

COSTA ESURI GOLF CLUB
Meeting Called by Mayor Alberto Alcalde
21st May 2019 at 7.30pm

The meeting was well attended by the Mayor, his support team and about 70-80 residents of Costa Esuri. Translation was provided by Jenette Holyoak.

The Mayor started by saying that the meeting would be in two parts. Firstly, he would give an overview of what he had achieved for Costa Esuri in the last four years and what he wanted to bring to the community if he is elected on Sunday. I won't go into much detail as this was clearly electioneering on his part.

He did say that €700,00 was being released from the money left by Matinesa Fedesa for road and payment repairs and another €700,000 for the completion of green areas that were not finished in the original construction. More money would be released for the second phase of works at a later date. He made clear that he felt Costa Esuri was important to the future of Ayamonte and that the golf course was integral to future growth.

Also included in his address was references to other local issues that did not directly effect the golf course or club.

The second part of the meeting was about Costa Esuri Golf.

The Mayor was able to give more up to date information and the actual situation is slightly different to that given at the meeting with H20.the previous evening.

• HIDROCARBUROS SANTA ANA SL, bought the golf club, east and west golf courses, hotel and others parcels of land at an auction last year. At this auction they did not know the breakdown of the debts that were attached to the purchase.
• The 2.4M that is owed is actually from the whole of Costa Esuri, not just the golf course and club house. The Mayor is in the process of breaking this amount down and finding a structural settlement for it.
• In the last year they have not paid for any water and this is how the €75,00 water debt has accrued. He had been asked by HIDROCARBUROS SANTA ANA SL, to just forget about it so they could start afresh, but the Mayor said this was not allowed or ethical for him to do this.
• His solution is that he has agreed for the new owners to pay 25% now and the balance to paid off over the next 2 years. He was confident this first payment would be made in the very near future and the water supply turned back on. This brought the biggest cheer of the night.
• The new owners have already sold off the parcel of land which has permission for a hotel at the very top of Costa Esuri.
• As far as he could tell they have every intention of selling off all their assets in due course and no interest in owning or running a golf course.
• The solution for re-opening Costa Esuri golf would be for either H20 buying out the club or another interested party.
• He has been helping in negotiations with the owner of Canela Golf to purchase Costa Esuri Golf. The deal is almost finalised and he thinks it will be completed within the next few days.
• H2O will cease operating at this time and no details were given as to how this transfer of ownership will take place.

At this time he invited questions from the audience and Michael Haligan took over as interpretor with assistance from Jenette.

The questions were a bit random with topics covered were from who and how to vote in the forthcoming election to the bus service. Others wanted to make the point how important the golf course was to their investment into the future of Costa Esuri and the Mayor totally agreed with this and outlined his plan to physically link Ayamonte with Isla Canela and Costa Esuri.

The one question that was finally asked and most relevant to us as members of the golf club was when the Mayor was asked if during his assistance of negotiations with the owner of Canela Golf had they given any assurances that our contracts with H2O would be honoured. He was able to confirm that the contracts would be honoured. We can therefore assume there will be no refunds from H2O.

The meeting was then closed at about 10.00 pm.


As you can now see details and events are changing all the time. This afternoon I have received a message that Jose Marie Reyes of Hidrobcarburos (the new owners) would like to address the members to "explain the whole process from the purchase up to today".

I have agreed for this meeting to take place on Saturday 25th May at 11.00 am at Costa Esuri Golf Club and hope that as many of you can attend as possible. Maybe we will finally get to know more certainty about the future of our golf club. I will of course be sending out another email next week, when we should have a much clearer picture.

A big thank you to Jenette and Michael for all their help in translating and to Jan & Kim for helping me compile the minutes.

I can't confirm I'm afraid, but would imagine that it is a public meeting as to will effect everyone. I am also hearing that, (at 11:00 today 23rd May), "Looks like there’s a meeting this morning between the current owners (Hidrocarburos Santa Ana), Pryconsa (owners of Isla Canela) and H20 (the current company running Costa Esuri) to see if they can reach an agreement…" re (my presumption) the sale of the golf course to Pryconsa (owners of Isla Canela)...

Jose Maria Reyes would appear to be the 4th deputy Mayor of Ayamonte who was at the meeting with the Mayor and was delegated by the Mayor to be the lead on Costa Esuri. His actual name appears to be José Maria Mayo Luis he has replaced José Manuel Correa Reyes 3rd deputy Mayor who has now gone to Huelva as a representative of the new Junta Andalucia which is now PP controlled.

If this is the man then the meeting should be open to all Esuri residents since he is the delegated representative of the ruling party coming to Esuri to update us on what has transpired since the Mayor addressed Esuri Residents.

Just a thought .....................If the course gets sold to Pryconsa, then surely the current owner will have to settle the 70K water debt as part of the deal in the sale - NOW. Not 25% now and balance paid over two years ? Also, reading what has been sold in a job lot, I guess the Fadesa liquidators still remain the owners of the shopping centre ? Anyone know ?

That would appear to be the case. The 25% could or might not apply to the water bill, the Mayor only has authority to answer for the outstanding IBI bill and possibly the outstanding EUC DEBT. The water for the green area and golf course is supplied by an agricultural consortium and is very precious to them for their cash crops. It should not be used for any other purpose. Esuri was designed to be self sufficient for watering from grey water based on a certain population and occupancy. This has never operated..

Well the 70k could always be factored into the purchase price offered. If not then the water company could obviously offer same deal to new owners. But this is Spain so.....
The shopping centre is owned by the cat population of CE. And will remain so until someone like IKEA for example decides to open a store there. You need " a magnet" to draw the public off piste.

This has just been posted on the CERA website:-

“The meeting of Saturday 25 at 11 in the morning may was suspended on the future of the golf club, until new information.

While the meeting scheduled for Saturday day 25 was intended only to report the process of selling the assets of martinsa-Fadesa by hydrocarbons, given the proximity of the municipal elections and for the effects that this information could have on The same, this meeting is postponed.”
